THE EFFICACY OF MINORITY PROTECTION UNDER CORPORATE GOVERNANCE IN NIGERIA
Abstract
The issue of minority right protection is paramount for the smooth administration of any organization. The course of this work is to analyze the efficacy or lack thereof, of the instruments set in place for the protection of minority shareholder rights in incorporated companies in Nigeria. The adequate representation of both majority and minority shareholders in the affairs of a company not only manifests fairness and harmony but also furthers the principles of democracy and practical equality (equal treatment where it counts not just in theory but in practice) One of the major findings of this study relates to the increasing necessity of formulating a general regulation for the protection of foundational minority rights in incorporated companies to ensure equal opportunity for all members. The research recommends that appointments of company directors should be done in such a way that each class of shareholders is represented on the board, and concludes that the courts have shown readiness to give effect to the protection of the rights of minority shareholders, not overlooking the principle of legal personality of a company and the majority rule and.
