Abstract

Prior to 1887, the position of a company secretary has been said to be that of a mere servant of the company and having no managerial power whatsoever. A company secretary is now said to have a much more important position in a company with extensive duties and responsibilities. This is as a result of the seeming necessity to change the status of a company secretary. The research discusses the role of a company secretary in corporate governance in Nigeria. The research finds that the problem related to the duties of a company secretary in Nigeria and suggests several ways to improve it. The research also examines the effect of the challenges facing the corporate secretary. The research suggests that the functions of the company secretary should be in accordance with the Companies and Allied Matters Act (CAMA) in order not to incur unnecessary and avoidable liabilities. The research also stipulates that the effectiveness of any company in Nigeria, or anywhere in the world is a function of a qualified and efficient company secretary. The research entails the mode of secretarial practice in the Ghanaian jurisdiction. The work further makes observations and recommendations for the effectiveness of a company secretary in Nigeria.
