AN APPRAISAL OF THE LIABILITIES OF A COMPANY FOR THE ACTS OF ITS DIRECTORS
Abstract
This research examines the liabilities of a company for the acts of its directors. Managing Directors are employed by the company and as such can be said to be employees of the company, they serve two main roles in the company one as a directors and the other as a manager. The members or officers of the company are not in any way under any form of liability for acts done in course of discharging their duties but the company bears all such liability. Therefore, the acts of directors of a company are also accruable to the company. This research therefore examines the powers, duties and responsibilities of company directors. It also examines the liabilities and remedies available for the acts of company directors in line with the legal framework in Nigeria. This study recommends the various actions needed to be taken to solve the problem within the subject matter.
